Meaning and Characteristics of Partnership
- Partnership is a business relationship between two or more persons who agree to share profits of a business carried on by all or any one of them acting for all.
- Minimum 2 partners; maximum 50 as per Companies Act, 2013.
- Must be formed for a lawful business with profit motive.
Partnership Deed and Its Absence
- A partnership deed is a written agreement outlining terms like profit sharing, capital, interest, salary, etc.
- In absence of a deed, the Indian Partnership Act, 1932 applies.
- Rules in absence of deed: profit shared equally, no interest on capital or drawings, 6% interest on partner's loan, no salary to partners.
Capital Accounts: Fixed vs Fluctuating
- Two methods to maintain capital accounts: Fixed and Fluctuating.
- Fixed Capital: Two accounts – Capital Account (unchanged) and Current Account (for adjustments).
- Fluctuating Capital: Only one Capital Account that changes with every adjustment like profit, drawings, interest, etc.
Profit and Loss Appropriation Account
- This account shows how net profit is distributed among partners after adjustments.
- Adjustments include interest on capital, interest on drawings, salary, commission, and transfer to reserves.
- Profit is distributed only after all adjustments are made.
